AGREEMENT TO OUR LEGAL TERMS
We are Valhalla Vitality (“Company,” “we,” “us,” “our”), a company registered in New York, United States at 158-01 Cross Bay Blvd, Howard Beach, NY 11414.
We operate the website https://valhallavitality.com/ (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).
You can contact us by phone at 801-871-8190, email at support@valhallavitality.com, or by mail to 158-01 Cross Bay Blvd, Howard Beach, NY 11414, United States.
These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Valhalla Vitality, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and, except for material changes to subscription, billing, or refund terms (which we will also email to the address on your account), you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
We recommend that you print a copy of these Legal Terms for your records.
1. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
Where our Services involve the collection, use, or disclosure of protected health information, we maintain safeguards designed to comply with the Health Insurance Portability and Accountability Act (“HIPAA”) and other applicable data privacy and security laws, as further described in our Privacy Policy. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (“GLBA”) or any other applicable law.
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”).
Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.
The Content and Marks are provided in or through the Services “AS IS” for your personal, non-commercial use only.
Your use of our Services
Subject to your compliance with these Legal Terms, including the “PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable license to: access the Services; and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.
This license does not limit your ability to save, print, or share your own individualized treatment plans, prescriptions, lab results, or other personal health records generated through your use of the Services, including for the purpose of coordinating care with another healthcare provider. This Section governs Site Content — including educational materials, marketing content, and platform design — and does not restrict your use of your own health information, which is addressed in our Privacy Policy.
Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: support@valhallavitality.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.
We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Your submissions
Please review this section and the “PROHIBITED ACTIVITIES” section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.
Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
You are responsible for what you post or upload: By sending us Submissions through any part of the Services you:
- confirm that you have read and agree with our “PROHIBITED ACTIVITIES” and will not post, send, publish, upload, or transmit through the Services any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
- to the extent permissible by applicable law, waive any and all moral rights to any such Submission;
- warrant that any such Submission are original to you or that you have the necessary rights and licenses to submit such Submissions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions; and
- warrant and represent that your Submissions do not constitute confidential information.
You are solely responsible for your Submissions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
One Account Per Patient
Each account is personal to a single, individually identified patient and may not be shared, used jointly, or accessed on behalf of another person, including a spouse, partner, family member, or household member. Your medical intake responses, clinical history, and prescription records are maintained specifically for you as an individual patient, and any treatment, prescription, or clinical recommendation is based on your information alone. Creating or using an account on behalf of, or in conjunction with, another person — including to combine orders, share VIP Rewards points, or receive medication intended for someone else — is a material breach of these Legal Terms and may result in suspension or termination of your account and refusal of current or future orders.
Death or Incapacity of Account Holder
In the event of the account holder’s death or incapacity, the account and any associated subscriptions, prescriptions, or VIP Rewards points are non-transferable and may not be accessed or used by any other person, including a family member or legal representative. A family member or legal representative should contact Customer Support directly to request cancellation of active subscriptions or to address the account; Customer Support may require documentation (such as a death certificate or proof of legal authority) before taking action on the account.
4. PRODUCTS
We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Services. However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.
5. PURCHASES AND PAYMENT
We accept the following forms of payment: Visa, Mastercard, American Express, Discover.
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.
You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
Acknowledgement at Checkout
Before you place an order or start a subscription, you will be asked to confirm that you have read and agree to Section 6 (Subscriptions) and Section 7 (Return/Refunds Policy) of these Legal Terms. We keep a timestamped record of your acceptance, including the version of these Legal Terms displayed at that time.
6. SUBSCRIPTIONS
Billing and Renewal
Your subscription automatically renews and is refilled and shipped on a recurring basis according to your selected formulation’s cycle, unless canceled in accordance with this section. You consent to us charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you cancel. The length of your billing cycle depends on the subscription plan and formulation you selected. Renewals process by 11:59pm ET on your scheduled renewal date.
Cancellation and Changes
You may cancel your subscription at any time through the Subscriptions tab in your account dashboard. Cancellation must be completed directly in your account to take effect — contacting Customer Support does not guarantee your subscription will be canceled before the next renewal, as support requests are processed in the order received and may not be resolved before your renewal date. To avoid being charged for and receiving an upcoming cycle, you must complete cancellation in your account by 11:59pm ET the day before your scheduled renewal date.
Order Cancellation Cutoff. After a renewal charge has processed, you may cancel that order from your account until a provider approves it. Once a provider has approved the order, it moves quickly to pharmacy preparation and cannot be canceled or refunded, even if you contact us on the same day. A cancellation submitted after that point takes effect starting with your next scheduled cycle, not the order that just processed. This does not limit refunds or replacements where a provider rejects the order, the pharmacy makes an error, we or the pharmacy are unable to fulfill the order, or a refund is legally required.
Renewal Reminders. We may send you an email reminder approximately 3–7 days before a scheduled renewal charge, including a link to cancel. Reminders are a courtesy. You remain responsible for canceling before the cutoff described above, whether or not you receive or read a reminder.
Changing Formulations. To switch to a different formulation, product, or service, cancel your current subscription and start a new subscription for the item you want. Subscriptions cannot be modified in place to change formulation.
Dosing Changes. Dosing is determined solely by your provider based on clinical evaluation. You may not independently change your dosage within a subscription; consult your provider through the Services if you believe a dosing adjustment is needed.
If the formulation you are subscribed to becomes unavailable or is discontinued, your subscription will not renew at your next scheduled renewal date, and we will reach out to you regarding your options.
Missed or Failed Payment
If a scheduled subscription payment fails, we will display the specific reason for the failure on your Subscriptions page in your account. We will automatically attempt to retry the payment up to three (3) times over the following day. If the payment cannot be successfully processed after these attempts, your subscription will be paused. A paused subscription will not ship further refills until you update your payment method and renew the subscription yourself through the Subscriptions page in your account.
Fee Changes
We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.
7. RETURN/REFUNDS POLICY
A. Telehealth Services
Consultation and medical evaluation fees are non-refundable once services have been rendered and reviewed by a licensed provider. By completing checkout, you acknowledge that payment is for professional medical services and not for a guaranteed prescription or specific treatment outcome.
If a licensed provider determines that treatment is not clinically appropriate:
- The patient will not be charged for medication (if applicable); or
- If payment for medication was collected before the provider’s determination and the order is rejected, the payment will be automatically refunded to the original method of payment. If the original method of payment is no longer active, we will contact you to arrange store credit or another method of refund.
Treatment Plans. If you purchase a treatment plan that covers a set duration or more than one fill, each fill is subject to provider review. Payment for any fill that a provider does not approve will be refunded to the original method of payment. If the original method of payment is no longer active, we will contact you to arrange store credit or another method of refund.
Any store credit we issue is separate from VIP Rewards points and is not subject to the VIP points expiration policy. VIP Rewards points are promotional credits, have no cash value, are non-transferable, and may only be used in accordance with the VIP Rewards Program Terms. A provider’s determination that treatment or a specific prescription is not clinically appropriate reflects independent medical judgment and is not, by itself, grounds for a refund, chargeback, or complaint beyond what is provided in this Section.
B. Prescription Medications
Prescription medications, including compounded medications, are prepared for the individual patient named on the prescription and cannot be returned to us or dispensed to anyone else. Patient-requested cancellations are available from your account only until a provider approves the order. After approval, the order cannot be canceled or refunded, regardless of whether the medication is used, the program is canceled, or the treatment duration changes. This does not limit refunds or replacements in the following cases: (a) a pharmacy error; (b) we or the pharmacy are unable to fulfill the order; (c) a provider determines treatment is not clinically appropriate and rejects the order, as described in Section 7.A; or (d) a refund is legally required.
Disposal of Unused Medication. If you no longer require unused medication, do not return it to us. Dispose of it following the FDA’s guidance on safe medication disposal, available at fda.gov.
Damaged, Incorrect, or Undelivered Medication. If there is an issue with shipping, damage upon delivery, incorrect fulfillment, or non-receipt of your shipment, you must contact Customer Support within seven (7) calendar days of confirmed delivery and provide: Order number; Tracking number; Photo evidence of damage (if applicable); Additional documentation reasonably requested. Each case will be reviewed individually. If approved, a replacement or store credit toward a replacement order will be issued. Refunds for dispensed prescription medications are limited to verified pharmacy error, shipping damage, or fulfillment issues, or as otherwise required by law. Prescription medications cannot be returned once dispensed.
C. Supplements (Non-Prescription Products)
All non-prescription dietary supplements, vitamins, and nutritional products (“Supplements”) are dispensed and prepared specifically for the individual customer. Returns are not accepted. All sales are final once an order has been dispensed, regardless of whether the product has been opened.
Damaged, Incorrect, or Undelivered Supplements. If a supplement order arrives damaged, incorrect, or is not received, you must contact Customer Support within seven (7) calendar days of confirmed delivery and provide: Order number; Tracking number; Photo evidence of damage (if applicable). Each case will be reviewed individually. If approved, a replacement or store credit toward a replacement order may be issued.
D. At-Home Lab Testing Kits
At-home lab testing kits are associated with the individual patient who ordered them and cannot be returned. Refunds and credits are not provided for the circumstances below, which are the patient’s responsibility, subject to the exceptions that follow:
- You decide not to use the kit or no longer want to complete the test.
- The sample provided is insufficient (e.g., inadequate blood volume) or otherwise fails to meet the lab’s collection requirements.
- The test cannot be processed or results cannot be produced due to sample viability issues, including those caused by shipping or handling conditions (e.g., a sample shipped immediately before a weekend or holiday that is no longer viable upon lab receipt).
- The kit was mishandled, used contrary to its included instructions, or used after its labeled expiration date.
- Any other failure to follow the kit’s collection or shipping instructions.
Exceptions. Where a kit is confirmed damaged, defective, or unusable through no fault of the patient — for example, a shipping carrier error or a laboratory processing error — Valhalla Vitality may, at its sole discretion, offer a replacement kit. This determination is made strictly on a case-by-case basis and does not constitute a right to a replacement or an admission of error. Nothing in this subsection limits any refund or remedy that is required by law.
E. Billing Errors & Duplicate Charges
Refund requests related to duplicate charges or verified billing errors will be reviewed promptly and corrected if confirmed.
F. Fraud Prevention & Abuse
Valhalla Vitality reserves the right to deny refunds or credits in cases of suspected fraud, abuse of this policy, or violation of these Terms & Conditions, including fraudulent chargebacks as described in Section 15.
8. SOFTWARE
We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement (“EULA”), the terms of the EULA will govern your use of the software. If such software is not accompanied by a EULA, then we grant to you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with our services and in accordance with these Legal Terms. Any software and any related documentation is provided “AS IS” without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You accept any and all risk arising out of use or performance of any software. You may not reproduce or redistribute any software except in accordance with the EULA or these Legal Terms.

We may provide you areas on the Services — such as reviews, ratings, intake forms, or feedback submissions — where you can create, submit, post, display, transmit, or otherwise make available content and materials, including but not limited to text, photographs, comments, suggestions, or personal information (collectively, “Contributions”). Contributions may be viewable by other users of the Services and through third-party websites. As such, any Contributions you transmit may be treated in accordance with the Services’ Privacy Policy. Contributions submitted as part of your medical intake or clinical communication with your provider are health information governed by our Privacy Policy and applicable HIPAA provisions, not by this general framework. Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.
11. CONTRIBUTION LICENSE
You and Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).
By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.
We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.
12. GUIDELINES FOR REVIEWS
We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must comply with the following criteria: (1) you should have firsthand experience with the person/entity being reviewed; (2) your reviews should not contain offensive profanity, or abusive, racist, offensive, or hateful language; (3) your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; (4) your reviews should not contain references to illegal activity; (5) you should not be affiliated with competitors if posting negative reviews; (6) you should not make any conclusions as to the legality of conduct; (7) you may not post any false or misleading statements; and (8) you may not organize a campaign encouraging others to post reviews, whether positive or negative.
We may accept, reject, or remove reviews in our sole discretion. We have absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate. Reviews are not endorsed by us, and do not necessarily represent our opinions or the views of any of our affiliates or partners. We do not assume liability for any review or for any claims, liabilities, or losses resulting from any review. By posting a review, you hereby grant to us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable right and license to reproduce, modify, translate, transmit by any means, display, perform, and/or distribute all content relating to review.
13. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
14. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy: https://valhallavitality.com/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.
15. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
Fraudulent Chargebacks
Filing a chargeback or payment dispute for a charge that was properly authorized and for services or products actually received or rendered — including disputing a charge after receiving a consultation, prescription, or dispensed medication — constitutes a violation of these Legal Terms. We reserve the right to terminate your account, refuse future service, and pursue recovery of amounts charged back in bad faith, in addition to any other remedies available to us. Nothing in this Section limits any rights you have under applicable law or the rules of your payment card network.
Conduct Toward Staff and Providers
We reserve the right to terminate or suspend your account if you engage in abusive, threatening, harassing, or disrespectful conduct toward our employees, contractors, or healthcare providers, or if you demand or pressure a provider to prescribe a specific medication, dosage, or treatment against their independent clinical judgment. Our providers exercise independent medical judgment in all treatment decisions, and refusal to prescribe based on that judgment is not grounds for a refund, chargeback, or complaint under these Legal Terms.
16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.
Prescribing, dispensing, and fulfillment of medications may also be interrupted or delayed due to changes in federal or state law or regulation, DEA scheduling or enforcement actions, pharmacy or manufacturer supply shortages, or other circumstances outside our reasonable control. We will not be liable for any delay, interruption, or inability to fulfill a prescription or subscription resulting from such causes, though we will make reasonable efforts to notify affected patients and offer available alternatives where appropriate.
17. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of New York applicable to agreements made and to be entirely performed within the State of New York, without regard to its conflict of law principles.
18. DISPUTE RESOLUTION
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in New York, New York. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in New York, New York, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.
In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than three (3) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

27. VALHALLA VIP REWARDS PROGRAM
Customers of Valhalla Vitality may access our VIP Rewards Program as part of the Valhalla Vitality Platform (the “Program”), governed by the Terms of Service, FAQ, and other policies (the “Program Guidelines”) provided by us. We reserve the right to modify or eliminate the Program and its guidelines at our discretion without prior consultation, unless required by law. VIP Points earned through the program are non-transferable and cannot be used for commercial purposes. Inactive members, defined as those who have not earned VIP Points in the past twelve months, may be unregistered from the program, resulting in the voiding of accumulated points.
This program is designed to reward our loyal customers through a tiered membership structure that offers exclusive benefits and privileges. Participation in the Valhalla VIP Rewards Program is subject to the terms and conditions set forth below.
Membership Tiers
The Program features four distinct membership tiers, each offering increasing rewards:
- Bronze Tier: Requires that users accumulate 500 VIP Points.
- Silver Tier: Requires that users accumulate 1,000 VIP Points.
- Gold Tier: Requires that users accumulate 2,500 VIP Points.
- Platinum Tier: The highest tier, requiring that users accumulate 5,000 VIP Points.
Access to each membership tier is automatically granted once a user’s accumulated points reach the respective membership point threshold, without any deduction from the user’s current point balance. VIP Points earned through the Referral Program count toward tier qualification.
As users ascend through the various tiers of our rewards program, they unlock increasingly valuable benefits in the form of a percentage discount. The tier-specific benefits are as follows:
- Bronze Tier: Members receive a 1% discount on all therapies and services.
- Silver Tier: Members receive a 2% discount on all therapies and services.
- Gold Tier: Members receive a 5% discount on all therapies and services.
- Platinum Tier: Members receive a 10% discount on all therapies and services.
Earning VIP Points
Points can be earned as follows:
- Registration Bonus: Earn 100 VIP points upon successfully registering an account.
- Invitation Rewards: Earn 2,500 VIP points (equivalent to a $50 discount toward purchases) when a person registers using your referral link and places and pays for their first order within 30 days of registering. The person you refer earns 500 VIP points once that first order is paid (see Referral Program below).
- Birthday Points: Receive 500 VIP points on your birthday.
- Points for Purchases: Earn 1 VIP point for every dollar spent on eligible purchases.
- Special Promotions: Occasionally, earn bonus VIP points through special promotions.
Redeeming VIP Points
- VIP Points can be redeemed at checkout to receive a discount on the order total for eligible therapies and products.
- A minimum of 500 VIP points is required to apply a discount to an order.
- Points have a conversion ratio of 50 VIP points = $1 discount.
Point Expiration and Membership Duration
It’s important to note that VIP Points come with an expiration date. VIP Points must be utilized within one year from the date of their accrual to remain valid. Additionally, memberships within the Valhalla VIP Rewards Program have a lifespan of one year from their initiation date. This ensures a dynamic and engaging experience for program participants, encouraging regular engagement and activity. Store credit issued as a refund is separate from VIP Points and is not subject to this expiration.
Accessing Your Point Log
We maintain detailed records of your accumulated VIP Points through a comprehensive point log accessible to each member. This feature allows members to monitor their VIP Point accumulation and track progress towards higher membership tiers.
Referral Program
Each member is provided with a unique referral link, shareable across platforms, to invite others to join Valhalla Vitality.
The referral reward is earned when the referred person registers using your referral link and places and pays for their first order within thirty (30) days of registering. The reward is not contingent on the provider’s clinical determination, and it does not depend on whether a prescription is issued or an order is approved. Referral points are credited only after that order’s payment has successfully settled, and are deducted if the order is later refunded, canceled, or charged back, except that a refund issued because a provider does not approve the order does not affect referral points. Referral points, for both the referrer and the referred person, count toward VIP tier qualification.
- VIP Points Allocation: Referrers are awarded 2,500 VIP points (equivalent to a $50 discount toward purchases) for each new customer who signs up using the unique referral link and places and pays for a first order within 30 days. The referred person is awarded 500 VIP points (equivalent to a $10 discount toward purchases) once that first order’s payment has successfully settled.
- VIP Points Tracking: All points earned will be tracked and reflected in the user’s account on Valhalla Vitality’s platform.
- We reserve the right to verify all referred sign-ups and adjust VIP points as needed to ensure compliance with program rules, including deducting points tied to a refunded, canceled, or charged-back order (other than a refund issued because a provider does not approve the order) and revoking points awarded through fraudulent, automated, or abusive referral activity such as bots, fake accounts, or self-referral schemes.
Modifications to the Referral Program
Valhalla Vitality retains the right to modify any aspects of the Referral Program, including but not limited to the mechanisms of VIP point accrual and redemption, at its sole discretion and without prior notice. Participants are encouraged to review the terms regularly to remain informed of their rights and responsibilities.
Termination and Forfeiture of Points
Valhalla Vitality may terminate the Referral Program or a user’s participation in it if any fraudulent activities or violations of terms are detected. Misuse and abuse of the referral link, including the creation of multiple user accounts by the same individual to accrue referral points, are strictly prohibited. Such activities constitute a violation of the Referral Program terms and may result in the immediate termination of the participant’s account and forfeiture of any accumulated points. Valhalla Vitality reserves the right to take legal action against any individuals involved in fraudulent activities or other actions that undermine the integrity of the Referral Program.
By participating in the Referral Program, users acknowledge and agree to these terms, and affirm that all activities connected to the referral will adhere to the ethical standards and guidelines set forth by Valhalla Vitality.
Promotions and Coupons
From time to time, we may offer promotional codes, coupons, or discounts (“Promotions”) to select users. The following terms apply to all Promotions unless otherwise stated at the time the Promotion is offered:
- Promotions cannot be applied retroactively to orders placed before the code was issued or used.
- Promotions expire at 11:59pm ET on the stated expiration date, after which they cannot be honored or reissued.
- Eligibility for a Promotion is determined solely by us and may vary by user, order history, or other criteria. Receiving a Promotion does not entitle you to future Promotions, and not receiving one that another user received does not entitle you to it.
- Stacking: One (1) Promotion code may be combined with your applicable VIP Rewards tier discount on a single order. Promotions cannot be combined with any other Promotion, and only one Promotion code may be applied per order.
- We do not guarantee the availability, functionality, or continued validity of any Promotion. If a Promotion code fails to apply, expires, or is not used before expiration, we are under no obligation to extend, reissue, or honor it after the fact.
- We reserve the right to modify, cancel, or discontinue any Promotion, and to change its terms, eligibility, or availability, at any time and without prior notice.
Eligible Products and Services
Members may use VIP Points to purchase follow-up consultations and other selected services as designated by the Company. The VIP point value required for these purchases may not equate to the dollar value of the service, reflecting a unique conversion ratio set by the Company. The Company also reserves the right to add or change the products and services available for purchase with VIP points at any time, ensuring our offerings remain dynamic and responsive to member needs.
Modification Clause
The Company reserves the right to modify, suspend, or terminate any aspect of the Program at its discretion. Changes may include adjustments to VIP point accrual and redemption mechanisms, membership criteria, and rewards offerings. Such changes will be effective immediately upon posting. Members are encouraged to regularly review these guidelines.
General Terms
By participating in the Program, you acknowledge that you have read, understood, and agree to these guidelines. If you have any questions or concerns, please contact our customer support team.

30. TELEHEALTH URGENT CARE SERVICES
30.1 Scope of Telehealth Services
Valhalla Vitality provides telehealth urgent care services, allowing patients to consult with licensed healthcare providers remotely for non-emergency medical conditions. Medical services are provided by independently licensed healthcare professionals affiliated with Valhalla Vitality; Valhalla Vitality does not practice medicine. Telehealth services may include, but are not limited to, virtual consultations, diagnosis, treatment recommendations, prescriptions, and referrals.
30.2 Eligibility and Location Requirements
By using our telehealth services, you affirm that: You are at least 18 years old. You are physically located in a state where our healthcare providers are licensed to practice at the time of the telehealth consultation. You understand that certain conditions may require in-person care, and telehealth may not be a substitute for emergency medical services.
30.3 Patient Consent
By engaging in telehealth services, you consent to: The use of audio, video, and/or other electronic communications to interact with a healthcare provider. The potential limitations of telehealth, including the inability to conduct hands-on examinations. The possible recording and storage of your telehealth session as required by law. The receipt of electronic prescriptions, referrals, and treatment plans.
30.3A Accuracy of Medical Information
All treatment recommendations, prescriptions, and clinical decisions made through the Services are based entirely on the information you provide during intake and any subsequent communication with your provider. You are solely responsible for providing complete, accurate, and current information regarding your medical history, current medications, allergies, and health conditions. We and our providers are not responsible for any adverse outcome, drug interaction, or harm resulting from incomplete, inaccurate, or outdated information you provide. Providing false or materially incomplete health information may result in suspension or termination of your account.
30.3B Role of Support Staff; Medical Communication Channel
Customer Support staff are not licensed medical providers and cannot provide medical advice, approve or deny prescription changes, adjust dosing, authorize replacement medication, or override a provider’s clinical decision. Support staff may check with your provider on your behalf regarding non-urgent questions, but we strongly recommend contacting your provider directly through the Services for any question involving your treatment, dosage, or medication. Any communication regarding your medical care, prescriptions, or treatment must be submitted through the Services’ designated support or messaging channels and will not be considered received or acted upon if sent through social media, public reviews, or other informal channels.
30.4 Prescription Policy
Our telehealth providers may issue prescriptions as deemed medically appropriate. Controlled substances may be prescribed only in compliance with applicable federal and state law (see Section 30.4A), and some prescriptions may require an in-person evaluation. Patients must use a licensed pharmacy to fill prescriptions and follow all usage guidelines.
30.4A Compounded Medications and Controlled Substances
Some medications dispensed through the Services may be compounded by a licensed pharmacy. Compounded medications are not approved or evaluated for safety, effectiveness, or quality by the FDA. Compounding is performed pursuant to a valid prescription based on your individual clinical evaluation. Prescriptions for controlled substances are subject to additional federal and state requirements, including potential in-person evaluation requirements under the Ryan Haight Act and applicable state telehealth prescribing laws. Availability of controlled substance prescriptions via telehealth may vary by state and is subject to change based on applicable law.
30.4B No Sharing of Prescribed Medication
Medications prescribed to you are dispensed specifically for your individual use based on your clinical evaluation. You may not give, sell, transfer, or otherwise share any prescribed medication with any other person, regardless of that person’s relationship to you. Sharing prescribed medication may be unlawful under federal and state law independent of these Legal Terms, and may result in termination of your account in addition to any other consequences.
30.5 Emergency and Limitations of Telehealth Care
Telehealth is not appropriate for medical emergencies. If you are experiencing a medical emergency, call 911 or seek immediate in-person medical attention. Telehealth may not be suitable for certain complex or severe medical conditions requiring physical examination or diagnostic testing. We reserve the right to refer patients to in-person care when necessary.
30.6 Privacy and Data Security
All telehealth communications are conducted in compliance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable data privacy regulations. Your telehealth data will be stored securely and will only be shared with authorized parties as required by law or with your consent.
30.7 Billing and Insurance
Telehealth services are paid for directly by you, and payment is due at the time of consultation unless otherwise arranged. We do not bill insurance.
30.8 State-Specific Compliance
Telehealth regulations vary by state. We comply with all state-specific laws, including licensure requirements, prescription guidelines, and informed consent policies. Patients must verify their eligibility for telehealth services in their state prior to scheduling an appointment.
30.9 Appointment Cancellation and No-Show Policy
We understand that schedules may change, and we strive to accommodate our patients’ needs while maintaining an efficient scheduling system. If you need to cancel or reschedule a telehealth urgent care appointment, the following policies apply: Cancellations made at least 24 hours before the scheduled appointment will be eligible for a full refund or rescheduling at no additional cost. Cancellations made less than 24 hours before the appointment will be subject to a cancellation fee of 50% of the consultation cost. No-shows or cancellations made within one hour of the scheduled appointment time will be charged the full consultation fee and are non-refundable. Exceptions may be made for emergencies or unforeseen circumstances, at the discretion of Valhalla Vitality. To cancel or reschedule, please log in to your account, go to the “Support” tab, and open a ticket with Customer Support.
30.10 Modification of Telehealth Services
We reserve the right to modify, suspend, or discontinue telehealth services at any time in compliance with legal and regulatory requirements. Any changes will be reflected in these terms and conditions.
30.11 Change of Location
You must keep your address on file current and promptly update it if you relocate. Telehealth eligibility, prescribing authority, and the availability of specific medications are governed by the laws of the state where you are physically located at the time of your consultation or refill. If you relocate to a state where your provider is not licensed, or where a medication you are prescribed cannot lawfully be continued via telehealth, your treatment, prescription, or subscription may be paused, modified, or discontinued to maintain compliance with applicable law. This is not a billing error, service failure, or breach of these Legal Terms, and does not entitle you to a refund beyond what is otherwise provided in Section 6 and Section 7.
By continuing to use our telehealth urgent care services, you acknowledge and agree to these terms and conditions. If you do not agree, please discontinue use immediately.
